Guidelines and Commentary

Guideline 1 Compliance with regulations and internal rules and behavior in line with ethical norms

Takasago Group officers and employees (hereinafter "we") will ensure that we understand domestic and overseas laws and regulations related to our business and operations, thoroughly comply with these laws and regulations, and thoroughly comply with internal rules. In addition, when we cannot make a judgment using laws and regulations or internal rules, we will thoroughly act in accordance with ethical norms.

Guideline 2 Thorough implementation of proper accounting processes and protection of company property

We will correctly understand accounting rules related to our business and thoroughly implement appropriate accounting and tax processes. Moreover, we will protect the value of our corporate property by thorough implementation of internal control concerning the acquisition, use and disposal of company property.

Guideline 3 Promoting fair, safe and healthy working environments

We will thoroughly comply with laws and regulations related to labor laws in each country and we will comply with various rules in order to protect the health and safety of our employees. In addition, we will thoroughly follow the Group's policies that respect individual human rights and diverse values, etc.

Guideline 4 Maintaining safety at construction sites and maintaining and improving quality

We will strive to continually improve our customers' trust in us by thoroughly implementing safety at our construction sites and quality control in areas such as construction, and providing timely and appropriate responses to various customer's opinions including customer needs and complaints.

Guideline 5 Promotion of appropriate information management and information disclosure

We will fulfill our obligation of confidentiality by thoroughly ensuring the security of not only our own information assets but also of important information and personal information belonging to other companies. In addition, we will comply with appropriate disclosure rules for company information, and prevent the leakage of important unpublished information and insider trading.

Guideline 6 Maintaining appropriate relationships with customers

In our sales activities, we will strive to ensure a sound relationship with our customers, and strictly refrain from bribes to civil servants and commercial bribes to private citizens (bribery in "private-private" transactions) as well as acts that could be misunderstood as bribery.

Guideline 7 Maintaining a fair competitive relationship with other peers in the same industry

In order to thoroughly comply with the antitrust laws and competition laws of each country, we will strictly refrain from exchanging competition information with other companies in the same industry, and we will thoroughly ensure that our relationships with government agencies and other companies in the same industry are legal and appropriate.

Guideline 8 Establishing appropriate relationships with cooperative companies

We will aim to thoroughly ensure optimum procurement from the viewpoints of quality, price, delivery, and green procurement, etc., thoroughly understand cooperative companies and suppliers including subcontractors of suppliers and outsourcing contractors, and thoroughly implement appropriate corporate behavior. In particular, we will thoroughly ensure that we maintain healthy relationships with our suppliers.

Guideline 9 Consideration for social responsibility, contribution to society, and the global environment

We will thoroughly take action based on the basic idea that companies exist for the development of society, thoroughly comply with environmental regulations, and thoroughly conduct corporate actions that take environmental conservation into consideration. In addition, we will always consider the development of the local community and how to make a contribution to society, and when we give donations etc. we will thoroughly enforce legal and appropriate spending objectives and procedures.

Guideline 10 Rejecting all relationships with anti-social forces and organizations

We will never have any relationships with anti-social forces, we will strictly take resolute measures not to respond to unreasonable demands, etc., and we will thoroughly implement internal control so as not to have any relationship with anti-social forces.
